Terms of Service
Last updated: October 19, 2026
These Terms govern your use of Rexor Closer, a managed AI sales assistant provided by REXOR GROUP LLC, a New Mexico limited liability company ("Rexor", "we", "us"). By subscribing or using the service you agree to them on behalf of your business ("you").
1. Business use only
Rexor Closer is sold to businesses, not to consumers. By subscribing you confirm you act for a business. We currently accept customers established in the United States, Australia and Singapore. We do not accept customers established in the Philippines, the European Union or the United Kingdom at this time.
2. The service
We install, configure and run an AI assistant (your "closer") that replies to the prospects who contact your business on the channels included in your plan (website chat, Telegram, email). It answers questions, asks the qualification questions you choose, handles objections with the facts you approved, and sends your own payment or booking link, or hands the conversation to your team. It replies to people who contact you; it does not start conversations with people on its own.
Before going live, you test your closer in a private sandbox. It goes live only after you approve it.
3. Plans, replies and fair use
- A "reply" is one message sent by your closer. Each plan includes a monthly number of replies, shown on our pricing page when you subscribe.
- Replies beyond your plan are billed at the overage rate shown on the pricing page ($0.05 per reply at the date above), at the end of the month.
- "Unlimited" Scale plans are subject to fair use: the quote is based on an expected monthly volume. If your actual volume exceeds it by more than 50% for two consecutive months, we may propose a new price with 30 days' notice, and you may cancel without charge before it applies.
- Your knowledge sheet (your offers, rules and information) is included up to the size stated for your plan.
4. Fees and payment
- Prices are in US dollars and exclude any applicable taxes. If you provide a valid business tax number, we apply the reverse-charge or exemption rules that apply to you.
- The one-time setup fee is charged on your first invoice. Monthly fees are charged in advance through our payment provider, Stripe. We never see or store your full card number.
- If a payment fails, we tell you by email. If it is still unpaid 7 days after that notice, we may pause your closer until payment is made.
5. Renewal and cancellation
Your plan renews automatically every month until you cancel. You can cancel at any time, online or by email, with no cancellation fee. Cancellation takes effect at the end of the month you have paid for. Refunds are covered by our Refund & Cancellation Policy.
6. Price changes
We will tell you about any price increase at least 30 days before it applies to you. You may cancel without charge before the new price takes effect.
7. Changes to the service
We may make reasonable changes to improve or maintain the service (for example, changing the AI model or a hosting provider). If a change materially reduces what your plan includes, you may cancel and we will refund the unused part of the month you paid for.
8. Your responsibilities
- Accurate information. Your closer only states facts that you have approved in your knowledge sheet. You are responsible for keeping prices, conditions and other facts accurate and up to date.
- Your products and your obligations. You remain the seller of your products and services. You are responsible for complying with the laws that apply to your business and to your communications with your prospects (including consumer protection, privacy notices, marketing and age rules), and with the rules of any platform you use.
- Your links. Payment and booking links are yours. Payments from your prospects go directly to you, never through us.
- AI disclosure. Your closer always tells people it is an AI. You agree not to ask us to remove or hide this.
- Acceptable use. You comply with our Acceptable Use Policy.
9. AI limitations and no guarantee of results
Your closer is an AI system. Every reply is checked by automatic controls and a second AI reviewer before it is sent, which reduces errors but cannot eliminate them. Your weekly report shows what your closer did so you can review it. We do not guarantee any number of conversations, sales, bookings or any other business result.
10. Data protection
For the personal data in your prospects' conversations, you are the controller and we act as your processor under our Data Processing Addendum, which forms part of these Terms. Our Privacy Policy explains how we handle data for which we are the controller. We do not sell your data and we do not use your conversations to train AI models.
11. Intellectual property
Your content (texts, offers, brand, knowledge sheet and conversations) remains yours. You grant us a limited licence to use it only to provide the service to you. Our software, prompts, controls and know-how remain ours.
12. Suspension and termination by us
We may suspend or end the service only:
- for non-payment, as described in section 4;
- for a material breach of these Terms or of the Acceptable Use Policy that you have not fixed within 7 days of our written notice;
- immediately, and only to the extent necessary, to stop content that is illegal, that involves a minor, or that creates a serious legal or security risk. We will tell you promptly and explain why;
- for any other reason with at least 30 days' notice, in which case we refund the unused part of any period you paid for.
13. Liability
- We provide the service with reasonable care and skill. Except as stated in these Terms and to the extent permitted by law, it is provided "as is".
- Each party's total liability under these Terms is limited to the fees you paid in the 12 months before the event giving rise to the claim. For breaches of data protection obligations, this limit is twice that amount.
- Neither party is liable for indirect or consequential losses, including lost profits or lost sales.
- These limits do not apply to fraud, wilful misconduct, infringement of the other party's intellectual property, or your payment obligations, nor to any liability that cannot be limited by law.
14. Indemnity
You will defend and indemnify us against third-party claims arising from your content, your products or services, or your breach of the law or of the Acceptable Use Policy. We will defend and indemnify you against third-party claims that our software, as provided by us, infringes their intellectual property rights.
15. Australian customers
Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, that cannot be excluded under the Australian Consumer Law. Where the law allows us to limit our liability for a breach of such a guarantee, our liability is limited to supplying the services again or paying the cost of having them supplied again.
16. Governing law and disputes
These Terms are governed by the laws of the State of New Mexico, USA, without prejudice to any mandatory protection given to you by the law of your country. Before starting any proceedings, each party will try in good faith to resolve the dispute by email within 30 days. Disputes are then subject to the courts located in New Mexico, unless mandatory law gives you the right to bring a claim in your own country.
17. Changes to these Terms
We will give you at least 30 days' notice of any change that affects you. If you do not agree, you may cancel without charge before the change applies.
18. General
These Terms, the Data Processing Addendum, the Acceptable Use Policy and the Refund & Cancellation Policy are the entire agreement between us. If any provision is found unenforceable, the rest remains in force. Neither party is liable for delays caused by events beyond its reasonable control. Notices are sent by email to the addresses on file.
